Terms of Service

These Terms govern your use of Hopper, a software service provided by Hopper Flow LLC ("Hopper," "we," or "us"). By creating an account or using Hopper, you agree to these Terms.

Accounts

You must provide accurate information, protect your login credentials, and take responsibility for activity under your account. You must be at least 18 and authorized to accept these Terms for your organization.

The service

Hopper provides warehouse workflow software for marketplace inbound preparation, scanning, shipment records, and label printing. We may improve or change the service over time.

Acceptable use

You may not use Hopper unlawfully; violate another person's rights; disrupt, probe, or bypass the service or its security; introduce malicious code; attempt unauthorized access; reverse engineer or copy the service except where law permits; resell Hopper without written permission; or use Hopper to build or train a competing product.

Subscriptions and billing

Paid subscriptions are billed through Stripe at the price and billing period shown at checkout and automatically renew until canceled. You authorize recurring charges and applicable taxes.

You may cancel at any time. Cancellation takes effect at the end of the current paid period, and paid access continues until then. Except where required by law, payments are non-refundable and we do not provide partial-period refunds or credits. We may change prices for a future renewal with at least 30 days' notice.

Connected marketplace accounts

If you connect Amazon Selling Partner API (SP-API), Walmart, or another marketplace, the account and credentials remain yours. You authorize Hopper to access and process information from that account only to provide the service. You are responsible for the marketplace account, its permissions, and compliance with its terms.

Hopper is independent and is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. or Walmart Inc.

Your data

You retain ownership of data you submit or direct a connected platform to provide ("Customer Data"). You grant us a limited right to host, process, transmit, and display Customer Data only as needed to provide, secure, support, and improve Hopper and comply with law. You are responsible for having the rights needed for Customer Data. We do not sell Customer Data.

Our intellectual property

Hopper and its software, design, documentation, and related intellectual property belong to Hopper Flow LLC and its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the service during your subscription. We may use feedback you voluntarily provide without restriction or payment.

Confidentiality

Each party will use reasonable care to protect the other's non-public information and use it only for this relationship. This does not cover information that is public through no fault of the recipient, already lawfully known, independently developed, or lawfully received elsewhere.

Suspension and termination

You may stop using Hopper at any time. We may suspend or terminate access if you materially breach these Terms, create a security risk, fail to pay, or use the service unlawfully. When practical, we will give notice and an opportunity to correct the issue.

After termination, your right to use Hopper ends. Provisions that should continue by their nature will survive, including payment, ownership, confidentiality, disclaimers, liability limits, and dispute terms.

Disclaimers

To the fullest extent permitted by law, Hopper is provided "as is" and "as available." We disclaim implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee uninterrupted or error-free operation or that a marketplace or third-party service will remain available.

Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, or data.

Each party's total liability arising from Hopper will not exceed the fees you paid to Hopper during the 12 months before the event giving rise to the claim. These limits do not apply where law prohibits them.

Indemnity

You will defend and indemnify Hopper Flow LLC against third-party claims arising from your Customer Data, unlawful use of Hopper, or material breach of these Terms.

Governing law and venue

California law governs these Terms, without regard to conflict-of-law rules. Court proceedings must be brought in the state or federal courts in Los Angeles County, California, and each party consents to their jurisdiction and venue.

Changes

We may update these Terms. We will give at least 30 days' notice before a material change takes effect. Continued use after the effective date means you accept the updated Terms.

General

These Terms and any order that incorporates them are the entire agreement about Hopper. If one provision is unenforceable, the rest remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, reorganization, or asset sale.
